Terms & Conditions

§ 1 Scope

These General Terms and Conditions ("Terms") apply to all contracts between Impact Innovation Marketing UG ("IMPACT") and its clients regarding consulting services in the areas of performance marketing, creative strategy, UGC production, conversion optimisation and growth consulting.

§ 2 Subject Matter

The subject of the contract is the services individually agreed in the respective offer or engagement letter. IMPACT owes the professional provision of the agreed consulting and implementation services but does not owe a specific economic outcome.

§ 3 Remuneration and Payment Terms

Remuneration is based on individual agreement. Invoices are due for payment without deduction within 14 days of receipt. All prices are exclusive of statutory VAT.

§ 4 Client Cooperation

The client shall provide IMPACT with all information, access and materials required for the provision of services in a timely and complete manner. Delays due to a lack of cooperation shall not be at the expense of IMPACT.

§ 5 Term and Termination

The term of a consulting contract is based on individual agreement. Unless otherwise agreed, both parties may terminate the contract with 30 days' notice to the end of the month. The right to extraordinary termination remains unaffected.

§ 6 Liability

IMPACT is only liable for damages based on intentional or grossly negligent conduct. Liability for slight negligence is excluded — except in cases of breach of essential contractual obligations or damages resulting from injury to life, body or health.

§ 7 Confidentiality

Both parties undertake to treat all information obtained in the course of the cooperation as confidential and not to make it accessible to third parties.

§ 8 Final Provisions

The law of the Federal Republic of Germany shall apply. The place of jurisdiction for all disputes is Berlin, insofar as this is legally permissible. If individual provisions of these Terms are invalid, the validity of the remaining provisions shall remain unaffected.
